1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SPHERING³ LLC, a Delaware limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the MintIt Hub platform, including all related websites, applications, tools, and services (collectively, the "Services").

By creating an account, connecting a wallet, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be a resident of any jurisdiction where the use of cryptocurrency or NFTs is prohibited
• Not be subject to any sanctions administered by OFAC, the U.S. Department of State, or similar authorities
• Comply with all applicable laws and regulations in your jurisdiction

3. Description of Services

MintIt Hub provides a platform for digital creators to:

• Create and edit digital artwork using our Creator Studio tools
• Mint non-fungible tokens (NFTs) on supported blockchain networks
• List NFTs on third-party marketplaces
• Track and manage NFT portfolios across multiple platforms
• Store metadata and digital assets on decentralized storage networks

4. Account Registration

4.1 Account Creation

To access certain features of our Services, you must create an account by connecting a compatible cryptocurrency wallet (e.g., MetaMask, WalletConnect). You are responsible for maintaining the security of your wallet credentials and private keys.

4.2 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your wallet private keys and seed phrases
• All activities that occur under your account
• Notifying us immediately of any unauthorized access to your account

We will NEVER ask for your private keys or seed phrases. Any request for this information is fraudulent.

4.3 Data Storage

All user data is stored locally on your own devices. Optional cloud backup uses encrypted storage on PENTARIUM CODEXâ„¢ servers protected by VERASâ„¢ Security protocols. We never have access to your private keys or wallet credentials.

5. Fees and Payment

5.1 Fee Structure

Our fee structure includes:

• Minting Fees: A per-NFT fee based on your subscription tier ($0.25 - $0.99 per NFT)
• Storage Fees: Based on file size ($0.005 - $0.02 per MB)
• Service Fees: A percentage of sale price collected at the time of sale (1% - 5% depending on plan)
• Subscription Fees: Monthly or annual fees for Creator ($9.99/mo) and Studio ($29.99/mo) plans

5.2 Blockchain Transaction Fees

In addition to our fees, you are responsible for paying blockchain network fees ("gas fees") required to execute transactions on the blockchain. Gas fees are not controlled by MintIt Hub and may vary significantly based on network congestion.

5.3 Refunds

Due to the irreversible nature of blockchain transactions:

• Minting fees are non-refundable once a transaction is confirmed on the blockchain
• Subscription fees may be refunded within 7 days of purchase if no minting activity has occurred
• Storage fees are non-refundable once files are uploaded to decentralized storage

6. NFT Creation and Minting

6.1 Blockchain Finality

Blockchain transactions are permanent and irreversible. Once an NFT is minted:

• It cannot be "unminted" or deleted from the blockchain
• Metadata and associated media cannot be altered after minting
• The transaction cannot be reversed or refunded

6.2 Asset Custody

MintIt Hub does NOT take custody of your digital assets. All NFTs are minted directly to your connected wallet. You maintain sole ownership and control of your assets at all times. We have no ability to freeze, transfer, or otherwise control NFTs in your wallet.

6.3 Third-Party Marketplaces

MintIt Hub is not affiliated with OpenSea, Rarible, Magic Eden, Blur, Binance NFT, SuperRare, Foundation, Nifty Gateway, or any other marketplace. Marketplace fees, terms, and policies are determined by each marketplace independently. We are not responsible for any actions taken by third-party marketplaces.

7. Intellectual Property

7.1 Your Content

You retain all ownership rights to the original content you create using our Services. By using our Services to mint NFTs, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, and permissions for the content
• Your content does not infringe upon any third-party intellectual property rights
• You have the right to mint the content as an NFT and transfer ownership to buyers

7.2 Platform License

You grant us a limited, non-exclusive, royalty-free license to display, distribute, and process your content solely for the purpose of providing our Services. This license terminates when you delete your content or close your account.

7.3 Our Intellectual Property

The MintIt Hub platform, including all software, designs, logos, trademarks, and documentation, is owned by SPHERING³ LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our platform without prior written consent.

8. Prohibited Content

You may NOT create, upload, or mint content that:

• Infringes on any third-party intellectual property rights
• Contains sexually explicit material involving minors
• Promotes violence, terrorism, or illegal activities
• Contains hate speech or discriminatory content
• Is fraudulent, deceptive, or misleading
• Violates any applicable laws or regulations
• Contains malware, viruses, or malicious code
• Impersonates any person or entity

We reserve the right to refuse service and terminate accounts that violate these prohibitions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPHERING³ LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or goodwill
• Any damages resulting from unauthorized access to your account
• Any damages resulting from blockchain network failures or delays
• Any damages resulting from third-party marketplace actions
• Any damages exceeding the fees paid by you in the 12 months preceding the claim

11. Indemnification

You agree to indemnify, defend, and hold harmless SPHERING³ LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you create or mint using our Services

12. Termination

We may terminate or suspend your access to our Services at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Services immediately ceases
• NFTs already minted remain on the blockchain and in your wallet
• We may delete your account data after a reasonable retention period
• Any unused subscription time may be refunded at our discretion

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against SPHERING³ LLC.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date at the top of this page
• Sending an email notification to registered users (for material changes)

Your continued use of the Services after any changes constitutes acceptance of the new Terms.
